The difference is that Approval will count exactly those mutually
Approval-compatible preferences that you want counted, without
any need to dump your favorite by voting someone else over him.

IRV can be made to count a preference that's important to you, but
sometimes only by voting your compromise insincerely in 1st place, over your
favorite. If you don't do that, IRV will decide which preferences get
counted, and if you needed Middle>Worst to be counted, you might  be
out of luck if you didn't insincerely uprank Middle over Favorite.
